Terms of Service

Acceptance of Terms: By accessing or using VerifiedDataOps.com (the “Site”) and our data processing services (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree with these Terms, you must not use the Service. These Terms constitute a binding agreement between you (the “User” or “Client”) and VerifiedDataOps (“Company,” “we,” “us,” or “our”). We reserve the right to update or modify these Terms from time to time, and will post the latest version on our Site. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.

Definitions

For clarity, the following terms have specific meanings in this agreement:

“Service” – The data-related services, tools, and features provided by VerifiedDataOps, including any processing of documents or data that you request through our platform.

“User” or “Client” – An individual or entity accessing the Site or Service. If you are accessing on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

“Uploaded Content” or “Client Data” – Any documents, data files, or materials that you submit to us for processing or analysis.

“Output” – The results, reports, or processed data that we deliver back to you after performing the requested services on your Uploaded Content.

“VerifiedDataOps” (the “Company”) – The owner and provider of the Service, including our affiliates, employees, and authorized agents.

User Accounts and Access

In order to use certain features of the Service, you may need to create an account or provide contact information. You agree to provide accurate, current information and to keep it updated. You are responsible for maintaining the confidentiality of any login credentials and for all activities that occur under your account. If you become aware of any unauthorized access to your account, you must notify us immediately. We reserve the right to suspend or terminate accounts that we suspect are being used in violation of these Terms or for malicious purposes.

Acceptable Use and Prohibited Conduct

You agree to use our Service only for lawful purposes and in compliance with these Terms. You are strictly prohibited from:

Using the Service in any manner that violates any applicable law or regulation, or for any unlawful purpose.

Uploading or transmitting any content that is illegal, defamatory, infringing, harassing, obscene, or otherwise objectionable. You must ensure that you have all necessary rights and permissions to upload the data you submit to our Service.

Attempting to gain unauthorized access to the Service or any related systems or networks, or interfering with or disrupting the integrity or performance of the Service.

Engaging in any activity that could harm or impair the security, availability, or functionality of our infrastructure, including introducing viruses, malware, or any other harmful code.

Misusing the Service to send unsolicited communications, advertisements, or spam, or to collect personal information of others without consent.

If we determine, in our sole discretion, that you have engaged in any of the above prohibited conduct or other behavior that threatens our platform or other users, we reserve the right to suspend or terminate your access to the Service without notice, in addition to any other remedies available.

User Content and Intellectual Property

Your Data: You retain all ownership rights to your Uploaded Content and Client Data. By submitting data or documents to our Service, you grant VerifiedDataOps a non-exclusive, worldwide license to use, process, copy, and otherwise handle that data solely for the purpose of providing you the requested Service (e.g., performing the data analysis or task you ordered). We do not claim ownership over your data; this license is only so we can operate the Service for you. You represent and warrant that you have the right to provide the data you upload and that such data does not violate any law or third-party rights (including intellectual property or privacy rights). If your data contains personal information, our Privacy Policy describes how we handle it.

Service Outputs: Unless otherwise agreed in writing, the Output we deliver to you will be considered part of your data input (derived from your Uploaded Content). To the extent the output is a result of our algorithms, tools, or know-how, we grant you a license to use the output for your internal business purposes. Note that any of our pre-existing methodologies, software, or processes used to produce the output remain our intellectual property. We also reserve the right to reuse any generalized know-how or skills acquired while performing the Service, provided that no confidential or personal data is disclosed.

VerifiedDataOps Materials: We (and our licensors, if applicable) own all rights, title, and interest in and to the VerifiedDataOps Service and Site, including all software, code, algorithms, documentation, website content, logos, trademarks, and intellectual property (“Company IP”). These Terms do not grant you any ownership of Company IP. You are only permitted a limited, revocable right to use the Service as expressly allowed by these Terms. You shall not reverse engineer, decompile, or attempt to extract the source code of any software or component of our Service, nor will you remove or obscure any copyright, trademark, or proprietary notices on the Site.

Feedback: If you send us any feedback, suggestions, or ideas about the Service, we may use such feedback without obligation to you. Providing feedback is entirely optional, but by doing so, you grant us a royalty-free, perpetual license to use and incorporate your suggestions or comments into our services or business operations.

Privacy and Data Security

Your privacy is very important to us. Our collection, use, and handling of personal information is described in our Privacy Policy (see below), which is incorporated into these Terms by reference. By using the Service, you acknowledge that you have read our Privacy Policy and agree to how we handle your information. In particular, note that any files or data you upload will be processed by us and then deleted within 24 hours after task completion as part of our commitment to data security and privacy. We implement industry best practices to protect your data during transit and storage (such as encryption) and do not share your uploaded files with any third parties except as necessary to provide the Service or as required by law. Please review the Privacy Policy for details on how we protect user data, how long we retain different types of information, and your rights regarding your personal data.

Third-Party Services and Links

Our Site or Service may contain links to third-party websites or integrate with third-party services (for example, links to external freelance platforms like Fiverr or Upwork, or use of cloud hosting and analytics providers). These links and integrations are provided for your convenience or as part of our functionality, but we do not control and are not responsible for the content, policies, or practices of any third-party websites or services. If you visit or use any third-party services via our Site, you do so at your own risk and subject to their terms and policies. The inclusion of a link or integration does not imply that we endorse or have verified the third party’s offerings. Notably, VerifiedDataOps may participate in affiliate programs with some of these platforms, meaning we might earn a commission if you sign up or purchase through such links (see our Affiliate Disclosure below for more information). However, any such affiliation does not affect our impartiality in how we present information. We disclaim any liability for the actions or omissions of any third-party services.

Disclaimers of Warranties

Use at Your Own Risk: The Service (including all content, functions, and outputs provided by VerifiedDataOps) is provided on an “as is” and “as available” basis to the fullest extent permitted by law. VerifiedDataOps makes no warranties or representations of any kind, express or implied, regarding the Service. This includes, without limitation, no warranties of accuracy, completeness, reliability, merchantability, fitness for a particular purpose, title, or non-infringement. We do not guarantee that the Service will meet your requirements or expectations, or that it will be uninterrupted, timely, secure, or error-free. You acknowledge that data processing is complex and that occasional errors or downtime may occur. No advice or information, whether oral or written, obtained from us or through the Service, shall create any warranty not expressly made herein.

In particular, while we strive for highly accurate data handling, we do not warrant or guarantee the accuracy or validity of any output or results obtained through the Service. Any material or data you obtain through the Service is at your own discretion and risk, and you are solely responsible for any use of such outputs. VerifiedDataOps disclaims responsibility for decisions you make or actions you take based on the information or results provided by the Service.

Jurisdictional Note: Some jurisdictions do not allow the exclusion of certain warranties (for example, implied warranties), so some of the above exclusions may not apply to you. In such cases, our warranties are limited to the minimum scope permitted by applicable law.

Limitation of Liability

Limited Liability: To the maximum extent permitted by law, VerifiedDataOps and its owners, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of (or inability to use) the Service. This includes, without limitation, any loss of profits, loss of data, business interruption, or costs of procuring substitute services, even if we have been advised of the possibility of such damages. You agree that such damages are excluded even if any limited remedy fails of its essential purpose.

Cap on Direct Damages: To the extent permitted by law, the total cumulative liability of VerifiedDataOps for all claims arising from or related to the Service or these Terms (including any cause of action sounding in contract, tort, or otherwise) shall not exceed the amount you have paid to us in fees for the Service in the twelve (12) months prior to the event giving rise to the liability, or USD $100 if no such payments have been made. If multiple events give rise to claims, this cap will apply in aggregate to all claims combined. This limitation is a fundamental part of the bargain between you and us – the Service would not be provided without these limitations.

Exceptions: Nothing in these Terms shall operate to limit or exclude any liability that cannot be limited or excluded by law. For example, in jurisdictions where liability cannot be excluded for gross negligence or willful misconduct, our liability for such matters is not excluded. Likewise, any liability for personal injury or property damage caused by products we provide that is mandated by law will not be disclaimed. However, in any case, our liability will be limited to the fullest extent permitted by applicable law.

You acknowledge that the fees, if any, charged for the Service reflect this allocation of risk and the limitation of liability specified herein.

Indemnification

You agree to indemnify, defend, and hold harmless VerifiedDataOps and its affiliates, officers, agents, and employees from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) that arise from or relate to your use or misuse of the Service, your violation of these Terms, or your infringement of any intellectual property or other rights of any person or entity. This means you will reimburse us for any losses or costs we incur due to your actions that breach the Terms or applicable law. We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you (at your expense), and you agree to cooperate with our defense of such claims. You will not settle any claim that affects VerifiedDataOps without our prior written approval.

Termination

By You: You are free to stop using our Service at any time. If you have an account, you may cancel it or simply cease using the Service. Please note that sections of these Terms that by their nature should survive termination (such as ownership of data, disclaimers, liability limitations, etc.) will remain in effect.

By Us: We may suspend or terminate your access to the Service (or terminate these Terms as they apply to you) at our discretion, with or without prior notice, if we believe that: (a) you have breached any provision of these Terms; (b) you are misusing the Service or using it in a manner that could cause us legal liability or disrupt others’ use of the Service; or (c) we are required to do so to comply with a legal requirement or court order. We may also terminate the Service or your account if we discontinue the Service entirely. In the event of termination for cause (e.g. violation of Terms), we are not obligated to refund any fees you have paid. If we terminate for convenience (discontinuing the service not due to your breach), we will provide notice and, if applicable, refund any prepaid fees for the remaining unused period of service.

Upon termination, your right to use the Service will immediately cease. We will promptly delete or disable access to any of your Uploaded Content in our possession, in accordance with our Data Destruction Policy (see below). Termination does not relieve you of any obligations accrued up to the date of termination (for example, payment of any outstanding fees or indemnification for earlier breaches), and all provisions of these Terms which by their nature should survive termination shall continue to apply, including (but not limited to) provisions on ownership, disclaimers, indemnity, limitations of liability, and governing law.

Governing Law and Dispute Resolution

These Terms and any dispute arising out of or relating to the Service shall be governed by the laws of the State of Delaware, USA, without regard to its conflict of laws principles. You agree that any legal action or proceeding arising under or relating to this Agreement shall be brought exclusively in the federal or state courts located in the State of Delaware, and you consent to the personal jurisdiction of such courts. Notwithstanding the foregoing, VerifiedDataOps may seek injunctive or equitable relief in any jurisdiction to protect its intellectual property or confidential information.

If you are accessing the Service from outside the United States, you are responsible for complying with local laws. We make no representations that the Service is appropriate or available for use in all jurisdictions. You agree not to use the Service in any location or manner that would violate applicable export laws and regulations.

No Waiver; Severability

Our failure to enforce any provision of these Terms shall not be deemed a waiver of our right to enforce it later. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of VerifiedDataOps. If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible and the remaining provisions of these Terms will remain in full force and effect.

Entire Agreement

These Terms (together with any Service-specific agreements and our Privacy Policy and other policies referenced herein) constitute the entire agreement between you and VerifiedDataOps regarding the Service and supersede all prior and contemporaneous agreements, proposals or representations, written or oral, concerning its subject matter. In case of any conflict between these Terms and any other policy or agreement, these Terms will control with respect to your use of the Service unless expressly stated otherwise.
